What does this mean in practice?

Compliance with Laws, Rules and Regulations

In conducting its day to day business activities, parties shall adhere to local laws, rules and regulations of the country they operate in. Needless to say, this is mandatory.

Gifts

Gifts which are intended to unduly influence, compromise or obligate our employees will not be accepted. This has the potential to create conflicts that may not be in the Company’s best interests.

Anti-Bribery and Corruption

The Company maintains strict compliance with all applicable anti-bribery laws and general laws of countries where it operates, and to accurately reflect all transactions on the Company’s books and records. It is also Company policy to require agents, consultants and business partners who work on behalf of Company to comply with these same laws and practices.

The Company strictly prohibits the offering, giving, solicitation or the acceptance of any bribe, whether in cash or other forms of inducement in order to gain any commercial, contractual or regulatory advantage, pecuniary or otherwise, for the individual or anyone connected with the individual.

This policy is not meant to prohibit the following practices providing they are customary in a particular market, are proportionate, and are properly recorded:

  • Normal and appropriate hospitality
  • Giving of a ceremonial gift on customary occasions (example: New Year, Women’s Day)
  • Direct or indirect contributions to charities, but advises caution should be exercised to ensure charities are not being used as for political purposes or for channelling improper payments to public officials or third parties for unethical purposes.

Non-Compliance with this Business Policy

Any non-compliance with the law or participation in corrupt activities whether direct or indirect may lead to immediate termination of the agreement without prejudice to the Company’s rights to recover any damages that may arise out of the said termination.
